Terms of Use 

This website is maintained by Gild LLC and its subsidiary, Gild Insurance Agency LLC (“We/Our”). The content on this site is informational and provided “as-is”. It is not meant to replace legal, professional, or regulatory advice. Your interaction and use of this site means you are agreeing to the terms, conditions, and notices provided here. Insurance Services 

Gild Insurance Agency LLC is a licensed insurance agent offering small business insurance coverages across the United States, excluding New York State. As an agent, Gild Insurance Agency does not control the provisions or coverages included in an insurance policy. All coverages, provisions, and policies may not be available in all States. Gild Insurance Agency cannot provide any guarantee for the quotes, fees, terms, services or rates provided by our insurance provider partners.

If you select the option to bind on this website or via email, you agree to enter into a legally binding contract with the insurance provider partners represented by Gild Insurance Agency LLC and the terms outlined in your insurance policy. Review your specific coverage to understand the terms, conditions, exclusions, or other specificities provided by your insurance provider. 

By use of this website and our services, you are also agreeing to electronically interact with Gild Insurance Agency LLC. You will receive communications, disclosures, notices, and other important information electronically. Typical interactions with Gild Insurance Agency are conducted via email and text messaging.

In addition to our services providing access to insurance coverages through our insurance providers partners, policies issued from The Hartford Fire Insurance Company, may allow users to understand the impact of their insurance premium payments on their business credit score, as provided by CSIdentity Corporation (“Experian”), and marketed as Credited by Gild Insurance. Products available for the Credited program in partnership with The Hartford Fire Insurance Company, include business owner’s, general liability, professional liability, and commercial auto insurance coverages. Questions or concerns regarding the accuracy of a business credit score may be directed to Experian at 866-891-9206, Monday – Friday 9:00am – 9:00pm Eastern.

We are not an insurance provider or a credit reporting company, and we are not responsible for the provision of insurance policies. We may alter, suspend, discontinue, or subcontract our services in whole or in part, at any time and for any reason, without notice. Our services may also periodically become unavailable due to maintenance or malfunction of computer equipment or for other reasons. To use our services, you must have a computer with Internet access that can access our sites.

This website and through partnerships offered through Gild Insurance Agency, users are able to access business support services provided by technology and business support partners available through Gildhall marketplace, or otherwise. Gild Insurance Agency cannot provide any guarantee for the fees, terms, services or rates provided by these technology or business support partners.

Gild Insurance may also provide access to health related insurance coverages through CTX Partners, a health products agency, and its partner Optavise. Gild Insurance does not place, sell, or negotiate health related products. For specifics and terms related to health coverage products and the associated privacy practices, please review your selected insurance coverages or contact CTX Partners at https://www.ctx-partners.com/.

Member and Account Services

To obtain insurance coverages or become a member of the Gild Community, you will be asked to create an account. Information provided must be accurate and truthful. It is your responsibility to update account information to ensure the ongoing accuracy of this information. By creating an account, you are agreeing to electronically interact with Gild LLC and Gild Insurance Agency LLC. Interactions may include emails, text messages, or push notifications. 

The account section of this website is a password protected area. Unauthorized access or use is prohibited. To protect your data, an account may be terminated, without notice, if suspected or actual unauthorized access or use occurred. 

If you suspect your account information has been compromised, immediately email enterprising@yourgild.com.

Right of Use and Privacy

If you choose to use Gild Insurance Agency or any other services provided through its parent company, Gild LLC, partners, or associated website, you agree to (i) designate Gild Insurance Agency as your agent of record; (ii) authorize Gild Insurance Agency to communicate such designation as agent of record to any applicable insurance carrier or credit reporting agency, your prior insurance producer, and any other person or entity Gild Insurance determines should be advised; (iii) work exclusively with Gild Insurance Agency for such services unless we have otherwise expressly agreed; and (iv) permit Gild Insurance Agency to receive any commission or other form of compensation that any insurance provider partner agrees to pay in connection with the provision of services. You understand and agree that, by enrolling for our services, you have provided “written instructions” in accordance with the Fair Credit Reporting Act, as amended (“FCRA”), for Gild Insurance Agency, or its technology partner Sidewalk Group, Inc., dba Butter, to obtain your credit report and/or credit score(s) on a recurring basis to provide them to you while you have an account with us, and such information may be obtained from Experian Information Solutions, Inc., and/or Dun & Bradstreet, Inc. (“Credit Bureaus”) or any other credit reporting company. You understand and agree that, pursuant to such authorization, we may access your credit profile, including without limitation, your credit report, credit score(s) and other related information, to, among other things, verify your identity and to provide credit monitoring, credit scoring, credit score monitoring and tracking, or alerts for, among other things, new accounts, inquiries, other changes to information contained in your credit report. You understand and agree that, by enrolling for our services, you have provided express consent to receive credit monitoring, credit scoring, credit score monitoring and tracking and/or alerts. You understand and agree that we may, from time to time, provide additional products, services, features, and/or functionality to you, and that they shall be offered pursuant to the same authorization that you provided to us to obtain your credit report and/or credit score(s) on a recurring basis to provide them to you to review while you have an account with us.

Submissions

By providing ideas, questions, comments, and thoughts to Gild LLC or Gild Insurance Agency LLC, you acknowledge that the information is not confidential or proprietary. Through these submissions you agree to transfer all rights to such information, including, but not limited to, reproduction, transmission, disclosure, publication, and posting.

Payments

From time to time, insurance coverage may be purchased via credit or debit card. Storage of credit card data and processing of credit card transactions occur via a third party vendor. The card charged for your initial insurance purchase, and stored by the third party vendor, will be charged annually with your permission, in connection with policy renewals. Statements, invoices, and receipts related to initial and annual transactions are available in your account on this website or provided via email.

Refunds related to these transactions are typically issued within fourteen days from request via electronic refund to the used credit card for the initial and any applicable recurring transaction. Provider contact information is available in your policy documents found in your account on this website.

If you would like to cancel automatic renewal or have questions regarding a recent card transaction, please email enterprising@yourgild.com.

Policy Cancellation

If you wish to cancel your policy, please email enterprising@yourgild.com or contact your insurance provider directly. Insurance provider partner contact information is available in your policy documents and may also be found in your account on this website.

The digital assistant function (“Gildber”) on this website serves as a guide for those seeking insurance coverages. All decisions regarding coverage type, limits, deductibles, and amounts are your sole responsibility. No guarantees are available regarding the quotes, fees, terms, services or rates provided.

Intellectual Property

Please assume that all content, logos, and marks on this website are legally protected. These items are owned by Gild LLC, Gild Insurance Agency LLC, insurance provider partners, technology partner, or business support partner entities. Use, reproduction, or transmission of data is not permitted.

Indemnity

Your use of this website and associated services is an agreement to indemnify and hold harmless us, our officers, directors, employees and agents against all claims, damages, obligations, losses, liabilities, costs and expenses of defense, including, but not limited to, attorney’s fees, which arise from (1) your use of this website and its services; (2) your violation of the provided in the Terms, or (3) your violation of any third-party right, such as, but not limited to, copyright or privacy right. Indemnification obligations survive any termination of these Terms and your use of the Services. In addition, as applicable under California law, use of this website and associated services constitutes waiver of the applicability of California Civil Code section 1542.

Agreement To Arbitrate

Disputes related to the terms, services, and privacy notices of Gild LLC or Gild Insurance Agency LLC will be ultimately resolved under the Commercial Arbitration Rules of the American Arbitration Association (AAA) conducted in the State of Delaware. All parties hereby expressly waive trial by jury, class actions, or class-wide arbitration actions, except as related to disputes regarding intellectual property.

Arbitrators will be mutually agreed upon. If agreement cannot be reached, within thirty (30) days of either party’s request for arbitration, such arbitrator shall be selected by the AAA upon the request of either party. Parties will share the cost of arbitration equally. However, reimbursement of the prevailing parties attorney’s fees may be awarded based on the arbitrator’s recommendation. All arbitrator decisions will be considered final and binding, with considerations for judicial acceptance of awards. At no time, may an arbitrator authorize damages, rewards, or remedies in conflict with these Terms. Obligations regarding this arbitration agreement survive any termination of these Terms and use of our services.

To opt-out of this arbitration agreement, provide a letter detailing (1) your decision to opt-out of the arbitration agreement and (2) your contact information, including name, address, and phone number. You must sign the letter and send to: Gild LLC, 16192 Coastal Highway, Lewes, DE 19958.

You hereby waive the applicability of California Civil Code Statute 1542, and any similar statute or principle of common law. California Civil Code Statute 1542 says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

Insurance provider partners may decide to offer, renew, cancel or non-renew insurance coverage or otherwise provide customers with the requested insurance products. Gild LLC nor Gild Insurance Agency LLC does not provide any underwriting services and is not responsible or liable for any resulting loss. VantageScore 3.0 Credit Score Disclosure. VantageScore 3.0 with scores ranging from 300-850, is a user-friendly credit score model developed by the three major nationwide credit reporting agencies, Experian(R), TransUnion(R), and Equifax(R). VantageScore 3.0 is used by some but not all lenders. Higher scores represent a greater likelihood that you’ll pay back your debts so you are viewed as being a lower credit risk to lenders. A lower score indicates to lenders that you may be at a higher credit risk. There are three different major credit reporting agencies, Experian, TransUnion, and Equifax that maintain a record of your credit history known as your credit file. Credit scores are based on the information in your credit file at the time it is requested.

Your credit file information can vary from agency to agency because some lenders report your credit history to only one or two of the agencies. So, your credit scores can vary if the information they have on file for you is different. Since the information in your file can change over time, your credit scores also may be different from day-to-day. Different credit scoring models can also give a different assessment of the credit risk (risk of default) for the same consumer and same credit file. There are different credit scoring models which may be used by lenders and insurers. Your lender may not use VantageScore 3.0 so don’t be surprised if your lender gives you a score that is different from your VantageScore (and your VantageScore 3.0 may differ from your score under other types of VantageScore). Just remember that your associated risk level is often the same even if the number is not. For some consumers, however, the risk assessment of VantageScore 3.0 could vary, sometimes substantially, from a lender’s score. If the lender’s score is lower than your VantageScore 3.0, it is possible that this difference can lead to higher interest rates and sometimes credit denial.

Limitation of Liability

“As is.” Our services and all content on or accessible from our services are provided “as is” without warranty of any kind, either express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose and non-infringement. Specifically, but without limitation, we do not warrant that: (i) the information available through our services is free of errors; (ii) the functions or services provided by our services will be uninterrupted, secure, or free of errors; (iii) defects will be corrected or (iv) that our servers or the server(s) that make our services available are free of viruses or other harmful components. 

“As is.” Our services and all content on or accessible from our services are provided “as is” without warranty of any kind, either express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose and non-infringement. Under no circumstances will we be liable for any loss or damage caused by the failure of our services to operate as intended, your reliance on information from our services, information provided by another user or by your use of our services. It is your responsibility to evaluate the accuracy, completeness or usefulness of any information, opinion, advice or other content available through our services

Neither we, Experian, nor any of our and their respective affiliates shall have any liability to you as an agent, or otherwise, in obtaining copies of your personal credit report, business credit report, credit alert report, quarterly update, or credit score. Neither we, Experian, nor any of our and their respective affiliates or credit information subcontractors make any warranty, express or implied, for the accuracy of the information contained in or provided in conjunction with our Services. In no event shall we, Experian, or our or their respective affiliates be liable to you, any other user of our Services, third-party providers or any other person or entity for any special, incidental, punitive, consequential, exemplary or other direct or indirect damages (including without limitation damages for loss of profits, loss of data, loss of use or costs of obtaining substitute goods or services) arising out of the performance of the Services or your request, use, attempted use, inability to use, unauthorized access to or use or misuse of our Services, your contact information, content or any information contained theron, whether based upon warranty, contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages or losses. Neither we, nor any of our respective affiliates or credit information subcontractors are responsible for negative factual information contained in any reports you receive as part of the Services. Our services are not a credit counseling service and do not promise to help you obtain a loan or improve your credit record, history, or rating. This Section shall survive any termination, cancellation, or expiration of these Terms.

You release, to the fullest extent permitted by law, Gild LLC, and its subsidiary Gild Insurance Agency LLC, its directors, officers, members, employees, representatives, consultants, agents, suppliers and/or distributors from responsibility, liability, claims, demands and/or damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with (i) disputes between or among users; (ii) third-party sites, products and services, including without limitation insurance policies; and (iii) claims relating to the unauthorized access to any data communications or content stored under or relating to your account, including unauthorized use or alteration of such communications or your content.

Miscellaneous

Your access and use of our website and services is confirmation that you are able to (1) legally enter into a binding contract; (2) are eighteen (18) years of age or older, and (3) are yourself, or on behalf of a business, authorized to enter into binding agreements.
